Project description

The client (a large investment company) planned to conclude an M&A deal to acquire 100% of the insurance company's shares worth more than 1 billion rubles.

Not only the BBNP team worked on the project, as the buyer's lawyers, but also the seller's team. After all, such deals require painting work. It is important to analyze the activities of the acquired company, due diligence, prepare preconditions for the terms sheet and agreements of intent and assurances about the circumstances, and obtain approval from the Central Bank of the Russian Federation and the Federal Antimonopoly Service of the Russian Federation.

The main task for BBNP lawyers was to approve the deal in the antimonopoly service.

Through hardships, or rather, by collecting and systematizing documents, developing draft letters and assurances from the seller, buyer and target company, we managed to reach the star of the Federal Antimonopoly Service of the Russian Federation. In total, the set of documents included more than 40 years to the application for approval of the transaction, which were prepared strictly in accordance with the requirements of law and by-laws.

Taking into account the fact that the group of persons of the buyer and the acquired company was required to be disclosed, according to the established forms, a list of the groups of persons of the buyer and the acquired company was compiled, and explanatory letters and schematic diagrams were prepared.

It took less than a month to finalize the deal.
